agreement with Microsoft Corporation that makes the company an Authorized
Distributor for Microsoft OEM System Builder Products effective January 1,
2007. SED was previously an Associate Distributor for Microsoft.

As part of the agreement, all Microsoft Channel Partners will receive

participate in the Microsoft Partner Program at any of three program
levels: Registered, Certified, and Gold; dependant on qualifications and
requirements.
