NEW YORK, Jan. 16 /PRNewswire/ -- Today, BEA Systems, Inc. (Nasdaq:
BEAS) announced that it has entered into a merger agreement with Oracle
Corporation (Nasdaq: ORCL) pursuant to which Oracle has agreed to acquire
BEA Systems for $19.375 per share, or an aggregate transaction value of
approximately $8.5 billion. Affiliates of Carl C. Icahn, which hold nearly
13% of BEA's common stock, agreed with Oracle to vote their BEA shares in
favor of the merger.
Carl C. Icahn stated that, "This transaction is an excellent example of
the great results that can be achieved for all constituencies when the
shareholder activist is able to work cooperatively with management."
