SALT LAKE CITY, Feb. 1 /PRNewswire-FirstCall/ -- FranklinCovey (NYSE: FC)
announced today that the annual meeting of shareholders of FranklinCovey will
be held on March 4, 2005 for all shareholders of record as of January 7, 2005.
The annual meeting was rescheduled due to the review process for the
preliminary proxy statement, which has now been completed by the Securities
and Exchange Commission. Proxy materials for the annual meeting of
shareholders of the Company are anticipated to be mailed on or about
February 3, 2005. Proxy materials will provide shareholders with a notice of
the meeting and information on matters of business that will be voted upon by
the shareholders at that meeting.
Included in the matters in this year's proxy as previously announced, is a
proposed recapitalization of FranklinCovey's Series A Preferred Stock.
Pending shareholder approval, the proposed recapitalization would effectively
bifurcate the outstanding Series A Preferred Stock into two separate
securities: (1) new Series A (non-convertible) Preferred Stock with revised
terms and, (2) eight-year warrants to purchase shares of Common Stock at
$8.00 per share. In addition, included in the matters in this year's proxy
is a proposal to modify in the Company's Articles of Incorporation certain
miscellaneous provisions to modernize them and eliminate certain provisions
that are inoperative or substantially similar to provisions in the Utah
Revised Business Corporation Act.
