IRVING, Texas, Feb. 14 /PRNewswire-FirstCall/ -- Commercial Metals Company
(NYSE: CMC) announced today that the Board has modified its Corporate
Governance Guidelines to provide for the designation of a Lead Director by its
independent directors. Anthony A. Massaro has been appointed to that
position. The Lead Director will serve as a liaison between the Chairman and
independent directors with such responsibilities as are described in the
Corporate Governance Guidelines.
A Board member since 1999, Mr. Massaro chairs the Nominating and Corporate
Governance Committee and is a member of the Compensation and Audit Committees
of the Board. Mr. Massaro retired as President and Chief Executive Officer of
Lincoln Electric Holdings, Inc. in June 2004 and as Chairman of Lincoln
Electric's Board in October 2004. Mr. Massaro is also a Director of PNC
Financial Services Group, Inc.
Commercial Metals Company and subsidiaries manufacture, recycle and market
steel and metal products, related materials and services through a network
including steel minimills, steel fabrication and processing plants,
construction-related product warehouses, a copper tube mill, metal recycling
facilities and marketing and distribution offices in the United States and in
