MOUNTAIN VIEW, Calif., March 8 /PRNewswire/ -- Aviron (Nasdaq: AVIR)
announced today that it has filed a Registration Statement with the Securities
and Exchange Commission with respect to the offering of 3,000,000 shares of
its common stock. The underwriters have the option to purchase up to an
additional 450,000 shares (100,000 from a selling stockholder and 350,000 from
the company) to cover over-allotments. The underwriters for the offering will
be Morgan Stanley Dean Witter, Bear, Stearns & Co. Inc. and U.S. Bancorp Piper
Jaffray.
Concurrent with and contingent upon the proposed public offering, the
company expects to sell approximately $14.7 million of its common stock to
American Home Products Corporation in a private placement at a price per share
equal to the net proceeds per share to the company in the public offering.
A Registration Statement relating to the securities to be sold in the
public offering has been filed with the Securities and Exchange Commission,
but is not yet effective. These securities may not be sold nor may offers to
