CALGARY, Alberta, March 19 /PRNewswire/ -- Anadarko Petroleum Corporation
(NYSE: APC) announced today it has acquired 106,988,149 shares of Berkley
Petroleum Corp. (Toronto: BKP), representing 100 percent of the shares of
Berkley.
The Berkley shares tendered were purchased for C$11.40 per share for a
total value of approximately C$1.2 billion plus the assumption of
approximately C$400 million in debt.
The acquisition was made by Anadarko Canada Acquisition Corporation, an
indirect, wholly owned subsidiary of Anadarko Petroleum Corporation. On
Friday, March 16, 2001, Anadarko Canada Acquisition Corporation was combined
with Berkley Petroleum Corp. and will continue as Anadarko Canada Energy Ltd.,
also a subsidiary company of APC.
In special meetings held in Calgary on Friday, March 16, 2001, the former
Berkley Board of Directors was replaced with a new board and new company
officers were named.
