Product to Be Integrated Across Cendant Travel Distribution Assets, Providing
Better Value for Consumers, Competitive Deals for Travel Agents, and Enhanced
Distribution for Suppliers
PARSIPPANY, N.J., April 4 /PRNewswire/ -- The Travel Distribution Services
Division of Cendant Corporation (NYSE: CD) today announced that it has signed
a definitive agreement to acquire substantially all the assets of Neat Group,
Inc., a leading developer and operator of innovative dynamic packaging
technology for the travel industry. The transaction is not material to
Cendant and is expected to close during the second quarter of 2003, subject to
customary and other approvals. Financial terms were not disclosed.
Neat's dynamic packaging engine enables customers to build customized
travel packages from a vast array of discounted air, car and hotel inventory
through one simple search at one low price. A customer can expect to save 30
percent or more compared to purchasing each travel item separately.
Cendant plans to integrate Neat into CheapTickets.com and across its other
travel distribution businesses to provide consumers and travel agencies access
to dynamic and discounted travel packages.

options -- including 3,500 additional hotel properties -- at a lower total

real-time control over inventory and pricing, enabling improved revenue
management over "published" and "net" rates. Neat also provides suppliers with
easy-to-access detailed transaction reports by channel. A few of the leading

Continental, US Airways, United Airlines, Avis, Budget, Hertz, Hyatt,
