BHI Corporation Announces 100% Ownership of Aaxis Limited Shares; Company Announces Management and Board Appointments

    BELIZE CITY, Belize, April 15 /PRNewswire/ -- BHI Corporation
(Nasdaq: BHIKF), a leader in the outsourced facilities services sector in
North America, announced that BHI now owns 100% of Aaxis Limited following
closing, on March 31, 1998, of its offer to the remaining minority
shareholders of Aaxis Limited.
    BHI also announced that Mr. Robert A Simensky has joined BHI as Executive
Vice President, Director of Corporate Development.  In addition, Mr. David
Hammond, President of Aaxis Limited, and Mr. Eddie Turner, Director of Aaxis
Limited, and Chairman of ISS (BHIFs facilities services subsidiary), will
become Non-Executive Directors of BHI Corporation.
    Prior to joining BHI, Mr. Simensky was a Vice President of Investment
Banking at Merrill Lynch & Co. in New York.  He also worked in the Mergers &
Acquisitions department of Lazard Freres & Co. and Arnhold and
S. Bleichroeder, Inc.  During his career in investment banking, Mr. Simensky
has worked on over $35 billion of M & A transactions and helped clients in
various industries to raise more than $15 billion in capital.
    Mr. Simensky's principal responsibility will be to evaluate acquisition
and capital markets opportunities as BHI pursues growth in the outsourced
facilities services sector.
    Mr. Hammond has had over 25 years experience in the services industry.
Mr. Hammond is currently Chairman of Integrated Transport Systems Limited, the
leading European vehicle auctioneer.  He was also a Director and Deputy
Chairman of ADT Limited until 1996 (electronic security services company that
merged with Tyco International (NYSE: TYC) last year).  Mr. Hammond also
served as Director and Chairman of the Audit Committee of American Medical
Response (AMR) from 1993 until 1997.  Mr. Hammond has also, since 1995, been a
Commissioner at the Monopolies and Mergers Commission in the United Kingdom.
    Mr. Eddie Turner has had over 27 years experience in the facility services
industry.  He is Chairman of ISS, now BHIFs principal operating subsidiary.
His previous experience includes positions as President and Chief Executive
Officer of Oxford Building Services, Inc. and ADT Maintenance Inc.  Mr. Turner
also serves as Chairman of the Board of Turner Parking Systems, Inc, which
manages and operates parking garages in fourteen states.
