American Stores Company to Suspend Annual Shareholder Meeting and Mailing of 1998 Annual Report and Proxy Statement

                      Form 10-K Has Been Filed with SEC

    SALT LAKE CITY, May 13 /PRNewswire/ -- American Stores Company
(NYSE: ASC) today announced that due to its pending merger with Albertson's,
Inc. (NYSE: ABS), it has not scheduled a 1999 annual meeting of shareholders.
Accordingly, the Company does not intend to mail an annual report or proxy
statement that would normally be mailed to shareholders in advance of the
annual meeting.
    The Company has filed its 1998 Form 10-K with the Securities and Exchange
Commission, which contains the Company's financial statements, results of
operations and other information for the fiscal year ended January 30, 1999.
The report also contains much of the information that has historically been
included in the Company's annual report and proxy statement.  Shareholders of
