Stockholders has been rescheduled to be held on Friday, May 27, 2005, at
10:00 a.m., local time, at the Company's offices at 400 N. Sam Houston Parkway
East, Suite 205, Houston, Texas. The Board of Directors has previously fixed
the close of business on Thursday, March 31, 2005, as the record date for
determining stockholders of record entitled to notice of, and to vote at, the
2005 Annual Meeting of Stockholders or any adjournment thereof.
