Vertex Pharmaceuticals Announces Proposed Public Offering of Common Stock

    CAMBRIDGE, Mass., May 31 /PRNewswire-FirstCall/ -- Vertex Pharmaceuticals
Incorporated (Nasdaq: VRTX) today announced plans to offer 9,500,000 shares of
its newly issued common stock in an underwritten public offering.  The
offering will be made pursuant to the Company's effective shelf registration
statement previously filed with the Securities and Exchange Commission on
April 1, 2005.  Vertex also expects to grant the underwriters a 30-day option
to purchase an additional 1,425,000 shares to cover over-allotments, if any.
    Merrill Lynch, Pierce, Fenner & Smith Incorporated is acting as the sole
book-running manager in this offering.  J.P. Morgan Securities Inc. and UBS
Securities LLC are acting as co-managers.
