SANTA CLARA, Calif., June 7 /PRNewswire-FirstCall/ -- National
Semiconductor Corporation (NYSE: NSM) announced today that it plans to sell
$1.0 billion in aggregate principal amount of senior floating rate notes
due 2010, fixed rate senior notes due 2012 and fixed rate senior notes due
2017.
The notes offering will be made under National's shelf registration
statement filed with the Securities and Exchange Commission on June 7,
2007.
The proceeds from the notes offering will be used to partially repay
indebtedness under a bridge facility, the proceeds of which will be used to
repurchase outstanding shares of National's common stock pursuant to an
accelerated share repurchase program announced on June 7, 2007.
Goldman, Sachs & Co. is the sole book-running manager for the offering.
