CUPERTINO, Calif., July 2 /PRNewswire/ -- Rational Software Corporation
(Nasdaq: RATL), the e-development company(TM), today announced that, based on
preliminary analysis, the company expects to report revenues for the quarter
ending June 30, 2001 of between $172 million and $176 million, and pro-forma
earnings in the range of $0.07 to $0.08 per share. Additionally, the company
expects product license revenue to be between $79 million and $83 million.
Prior to this announcement, the consensus estimate for the period was revenue
of approximately $185 million and pro-forma earnings of $.08 per share.

Pro forma earnings per share for the periods reported exclude one-time
charges for purchased in-process R&D, amortization of goodwill and purchased
intangibles and amortization of stock-based compensation related to recent
acquisitions, as well as restructuring charges.
"Despite extreme focus on the part of our field sales organization this
was, particularly in Europe and in parts of Asia, a more challenging quarter
than we anticipated -- we saw a large fall off in our international business
right at the end of the period," said Paul Levy, chairman and co-founder of

plan, our competitive position continues to strengthen, and our products
continue to offer compelling value to our broad array of customers. As the
global economic environment improves, we will be in a strong position to
accelerate our growth."
As a result of the current economic outlook, the company now expects that
for fiscal year 2002, revenue will be between $825 million and $900 million.
The company's expectation for pro-forma earnings remains unchanged in a range
of $0.50 to $0.60 per share.
