RSA Security and Merrill Corporation Team to Deliver Strong Authentication for Virtual Deal Room Service

Cinergy Services, Inc. using Merrill DataSite and RSA SecurID(R) two-factor
authentication to help protect sensitive information, reduce costs and ease
the burden of the due diligence process

BEDFORD, Mass., July 13 /PRNewswire-FirstCall/ -- RSA Security Inc.
(Nasdaq: RSAS) today announced that Merrill Corporation, a global diversified
communications and document services provider, is offering RSA SecurID(R) two-
factor authentication to customers of Merrill DataSite, their online virtual
deal room product and service division. Cinergy Services, Inc., a subsidiary
of Cinergy Corp., one of the largest diversified energy companies in the
United States, is using the combined solution to securely host thousands of
documents required for due diligence work around corporate financial
transactions, acquisitions, mergers, divestitures, and asset and financing
deals.
Merrill DataSite enables teams on all sides of a deal to quickly and
efficiently view proprietary documents online, including contracts, financial
and employee information, intellectual property material and other material
business agreements. As such, authenticating users and knowing who is
accessing what information and when is a top priority. Each Merrill DataSite
user can now have an RSA SecurID token that generates a constantly changing,
six digit password which acts as an extra identifier -- in addition to a login
and project name -- when he or she accesses the site. Administrators have
complete reporting capabilities on every action taken by users in the virtual
deal room, as well as granular control over who sees what information, for how
long, and with what extra capabilities, such as printing or saving. Through
the use of the online dataroom with RSA SecurID technology, Cinergy has seen
travel costs savings by reducing the time and expense associated with travel
so involved parties may view documents in person. Typical savings from
increased efficiency alone can range from $10,000 to well over $100,000. In
addition, saving 30 days on a $100,000,000 transaction can benefit both
parties by more than $500,000.
"Using DataSite we were able to keep documents for each financial
transaction that we performed in one place, and users could log in at their
convenience. In some cases we were able to reduce the time spent on due
diligence from a matter of weeks to a matter of days," said Rick Beach,
assistant secretary and senior counsel, Cinergy Corp. "These are such
proprietary documents that we decided to go above and beyond in terms of
security. RSA SecurID two-factor authentication gives us that extra level of
protection that normal security routines don't provide."
"Virtual deal rooms are a perfect example of the innovative business
opportunities that are enabled by the Internet when security concerns are
anticipated and mitigated," said John Worrall, vice president of worldwide
marketing at RSA Security. "As traditional passwords get a bad reputation for
being too easily lost, forgotten, or stolen, technologies such as RSA SecurID
two-factor authentication can provide both ease of use and peace of mind as
companies move critical information online."
"Organizations must make more and more documents available in a due
diligence process, particularly as many cultures and ways of doing business
come together in a global economy," said Ed Bifulk, DataSite President,
Merrill Corporation. "By transferring documents online and implementing
sophisticated security measures, corporations can streamline what is commonly
a labor-intensive and costly process while retaining full control and
visibility over the deal room. RSA SecurID strong authentication is helping
us serve our customers' needs even more completely."
