completion of its merger with Shout Interactive Inc. -- creating a company
with diversified rich media products and services that will immediately
reshape the face of the Internet. Coupling Eyematic's world leading computer
vision solutions with Shout's frictionless rich media distribution
technologies, the combined company has offices in Los Angeles, San Francisco
and Tokyo.

Terms of the merger were not disclosed. Shout 3D will continue to be
offered as a product. The newly formed Shout Interactive LLC will provide
