What Is Barry Diller Afraid Of?

June 14, 2004
Mr. Barry Diller
Chairman and CEO
InterActiveCorp
152 West 57th Street, 42nd Floor
New York, New York 10019

Mr. Barry Diller:

At the end of last week, six employees of TrueBeginnings, LLC, one of whom is
pregnant, were served with subpoenas in which Match.com, L.P., the personals
business of InterActiveCorp, "requests permission to take" their depositions
with the stated purpose "to investigate potential claims" by Match.com "that
involve possible breach of contract, breach of fiduciary duty, breach of duty
of loyalty, unfair competition, misappropriation, disclosure of trade secrets,
and tortuous interference with contract or prospective business relations."

TrueBeginnings categorically denies having received any confidential or trade
secret information from these employees that would constitute the basis of any
breach of contract or tort action by Match.com against these individuals. Let
me assure you that Match.com has no "secrets" that TrueBeginnings would want.
TrueBeginnings' employees have a vision of a divorce-free America, and they
have an abundance of ideas of their own.

We hired these employees for only one reason: We perceived in these
individuals greatness that was not being fully utilized. These employees have
the vision to serve the needs of singles in America and the initiative,
determination, and intellect to accomplish their mission. I am proud of my
association with these courageous employees. They inspire me daily to renew
my personal dedication to their cause of bringing fulfilling and long lasting
relationships to all single people in America.

I have agreed to defend and indemnify these employees in any action brought by
Match.com in answering the ridiculous charges it has alleged against them.

Mr. Diller, I will not allow you to intimidate the employees of
TrueBeginnings. To get to them, you must, first, come through me. I will
meet your challenges in the court room if you insist; however, I propose a
more productive solution.

I invite you, Mr. Diller to compete on a field of free, open, and fair
competition. Allow the singles in this country to determine who can best
serve their needs.

Let the best company win!

Sincerely,
Herb Vest
CEO
