the Securities and Exchange Commission (the "SEC") a resale registration
statement on Form S-3 (the "Registration Statement") that was effective
immediately upon filing with the SEC. Amylin filed the Registration
Statement to satisfy certain of its obligations under a registration rights
agreement that Amylin entered into in connection with its recent private
placement of $575 million in aggregate principal amount of 3.0% convertible
senior notes due 2014. The Registration Statement, while effective, allows
selling securityholders to publicly resell the convertible senior notes and
the common stock issuable upon their conversion, subject to certain
limitations included in the registration rights agreement and the
satisfaction by selling securityholders of the prospectus delivery
requirements of the Securities Act of 1933, as amended (the "Securities
Act"), in connection with any such resales.
