Ocean Energy Files Replacement Shelf Registration Statement

    HOUSTON, Aug. 9 /PRNewswire/ -- Ocean Energy, Inc. (NYSE: OEI) announced
today that it filed a shelf registration statement with the Securities and
Exchange Commission.  The registration statement is intended to replace the
company's existing $1 billion shelf registration statement, update information
relating to the company following its recent reincorporation from Texas to
Delaware and provide additional flexibility for the company's future issuance
of securities without increasing the amount of securities outstanding under
the existing shelf registration statement.  Upon effectiveness of the
registration statement, up to $1 billion of debt and equity securities may be
sold from time to time in one or more offerings on terms and conditions to be
determined in light of the circumstances.
    A registration statement relating to these securities has been filed with
the Securities and Exchange Commission, but has not yet become effective.
These securities may not be sold nor may offers to buy be accepted prior to
the time the registration statement becomes effective.  This press release
