ANNAPOLIS, Md., Sept. 6 /PRNewswire/ -- FTI Consulting, Inc. (Amex: FCN),
the premier national provider of strategic and litigation-related consulting
services, today announced that it filed a registration statement with the
Securities and Exchange Commission (SEC) for a common stock offering. The
company intends to sell 3.0 million new shares of its common stock.
Additionally, certain shareholders, primarily non-management shareholders who
have assisted the company with prior financings, are offering up to 1.5
million shares of common stock.
Proceeds from FTI's portion of the offering will be used to repay the
company's existing subordinated debt. The underwritten offering, which will
be made only by means of a prospectus, will be lead-managed by ING Barings LLC
and co-managed by Janney Montgomery Scott LLC.
Jack Dunn, FTI's chairman and chief executive officer, stated, "I am very
pleased that our growth, including our recent acquisition of Policano & Manzo
L.L.C., has laid the foundation for this offering. The use of proceeds should
go a long way to strengthen our financial position, expand our shareholder

A registration statement relating to these securities has been filed with
