PEMBROKE, Bermuda, Sept. 11 /PRNewswire-FirstCall/ -- Tyco
International Ltd. (NYSE: TYC; BSX: TYC) ("Tyco") and Tyco International
Finance S.A. ("TIFSA") today announced that they have commenced registered
exchange offers to exchange (i) up to $421,961,000 of Tyco and TIFSA's
newly registered 7.0% Notes due 2019 (the "2019 Exchange Notes") for an
equal amount of its privately placed 7.0% Notes due 2019 (the "2013
Original Notes") and (ii) up to $707,404,000 of Tyco and TIFSA's newly
registered 6.875% Notes due 2021 (the "2021 Exchange Notes" and together
with the 2019 Exchange Notes, the "Exchange Notes") for an equal amount of
its privately placed 6.875% Notes due 2021 (the "2021 Original Notes" and
together with the 2019 Original Notes, the "Original Notes"). The Exchange
Notes are substantially identical to the Original Notes, except that the
Exchange Notes have been registered under the Securities Act of 1933, as
amended, and will not bear any legend restricting their transfer.
Tyco and TIFSA will accept for exchange any and all Original Notes
validly tendered and not withdrawn prior to the expiration of the exchange
offers at 5:00 p.m., New York City time, on October 14, 2008, unless
extended.
