months of operation, are Jean Charles Dupuy as Executive Vice President of
Product and Implementation; Ira Frazer as Vice President and General Counsel;
and Christina Dyer as a member of the Advisory Board.
    Jean Charles Dupuy has an unparalleled 20-year record of success in
business process reengineering, risk management, business/system integration
and information management for government at the national level. This
internationally known project management specialist will bring together the

transformation of school purchasing in the nation's 16,400 school districts.
He comes to Simplexis from senior executive positions at American Management
Systems and Andersen Consulting.

One of the few attorneys to hold both a Doctor of Laws and MBA degrees, he is
experienced with start up, technology software licensing and Internet issues.
Frazer previously served as senior vice president and general counsel of major
firms including California Steel Industries and The Titan Corporation. His
varied accomplishments run the gamut from litigation, to developing an
internal intellectual property program for more than 300 patents and
trademarks.

14 years as general counsel to the San Diego Unified School District and has
nearly three decades of experience in education law. A former secondary level
