MORRIS PLAINS, N.J., Sept. 19 /PRNewswire-FirstCall/ -- Immunomedics, Inc.
(Nasdaq: IMMU), a leading biopharmaceutical company focused on developing
monoclonal antibodies, filed a shelf registration statement on Form S-3 on
September 14, 2005 with the Securities and Exchange Commission (SEC) related
to the resale by certain of its security holders of its $37.675 million
principal amount of 5% Senior Convertible Notes due 2008, and related common
stock purchase warrants initially sold by the Company in a private placement
in April 2005. The registration statement also includes an aggregate of
17,257,915 shares of the Company's common stock issuable upon conversion of
the Notes and exercise of warrants by the holders thereof. The filing was made
by the Company to comply with its contractual obligations to such security
holders. The Company will not receive any of the proceeds from the resale of
the securities.
The shelf registration statement relating to these securities has been
filed with the SEC but has not yet become effective. The securities may not be
sold, nor may offers to buy the securities be accepted prior to the time the
