First Data Expands Board; Names Two, New, Independent Directors

           Raytheon Chairman and Former McDonald's Chief Appointed

    DENVER, Oct. 1 /PRNewswire-FirstCall/ -- First Data Corp. (NYSE: FDC), a
global leader in electronic commerce and payment services, today announced
that Daniel P. Burnham, 56, and Jack M. Greenberg, 61, have been named to its
board of directors.  Burnham is chairman of the Board of Directors for
Raytheon.  Greenberg is the retired chairman and CEO of McDonald's
Corporation.
    "Dan and Jack's experience leading successful, global companies with
outstanding reputations will provide us with a depth of knowledge that will
complement and expand the strength of our existing board of directors," said
Charlie Fote, chairman and CEO of First Data.  "In addition, they share our
commitment to conducting business with the highest level of ethical
standards."
    Burnham joined Raytheon as president and chief operating officer in 1998
and was appointed chief executive officer later that year.  He served as CEO
through June 2003.  Prior to that, he spent 16 years with Allied Signal
holding a variety of leadership positions, including president of Allied
Aerospace.  He worked for Carborundum Company for 11 years before joining
Allied Signal.
    Burnham is chairman of the National Minority Supplier Development Council,
a member of the President's National Security Telecommunications Advisory
Committee, the Aerospace Industries Association, the Business Council,
FleetBoston Financial Corporation's board of directors and the board of the
Congressional Medal of Honor Foundation.
    He received a bachelor's degree in economics from Xavier University in
1968 and a master's of business administration from the University of New
Hampshire in 1970.  Burnham has been presented with honorary degrees from
Pepperdine University and Bentley College.
    Greenberg served in leadership positions at McDonald's for 21 years.
Before joining McDonald's, he was the director of tax services for the Midwest
region and the Chicago offices of Arthur Young & Company.
    Currently, Greenberg serves on the board of Abbott Laboratories, Allstate
Corporation and Hasbro Inc.  He is also on the board of trustees of DePaul
University, Ronald McDonald House Charities, Institute of International
Education, The Field Museum, The Chicago Community Trust, and the Chicago
Symphony Orchestra.  In addition, he participates on the board of the Economic
Club of Chicago, the Executives' Club of Chicago and is a member of Chicago's
Commercial Club.
    A graduate of DePaul University School of Commerce, Greenberg also earned
a juris doctorate degree from DePaul University School of Law.  He is a
certified public accountant and a member of the American Institute of
Certified Public Accountants, the Illinois CPA Society and the Chicago Bar
Association.
