Fleming Obtains Consents From Holders of Senior Subordinated Notes

    DALLAS, Sept. 20 /PRNewswire/ -- Fleming (NYSE: FLM) today announced that
it has received consents from holders representing a majority of the principal
amount of each of its 10-1/2 percent senior subordinated notes due 2004 and
10-5/8 percent senior subordinated notes due 2007 in connection with certain
proposed amendments to the indentures governing these securities.
Accordingly, Fleming has executed supplemental indentures enacting amendments
with respect to each of its 10-1/2 percent senior subordinated notes due 2004
and 10-5/8 percent senior subordinated notes due 2007.
    As of 3:20 p.m. (New York City time) on September 20, 2001, Fleming had
received the following consents:

    In addition, Fleming has extended the consent period for holders of the
notes who have not submitted consents.  Holder will now have until 5:00 p.m.
(New York City time) on Friday, September 21, 2001 to submit consents.
