VIENNA, Va., Nov. 5 /PRNewswire/ -- GRC International (NYSE: GRH) today
announced that a suit has been filed in Delaware Chancery Court against GRCI
and all of its current directors except Frank J.A. Cilluffo. The suit alleges,
among other things, that GRCI's Board of Directors has a plan to prevent a
full and fair proxy contest. The suit, brought by the same plaintiff in an
unrelated action against the company, challenges, among other things, the
reduction of the size of the class of directors to be elected at the 1999
Annual Meeting of Shareholders, and seeks injunctive and equitable relief as
well as monetary damages. The Court has scheduled a trial for December 13-14,
1999. The company believes the suit is without merit and intends to contest it
vigorously.
