Family Dollar Stores, Inc. Elects Edward C. Dolby as a New Independent Director

    MATTHEWS, N.C., Nov. 5 /PRNewswire-FirstCall/ -- Howard R. Levine,
Chairman of the Board of Family Dollar Stores, Inc. (NYSE: FDO), announced
that Edward C. Dolby has been elected to serve on the Board of Directors of
the Company.  He also has been appointed to the Audit Committee of the Board
of Directors.  Mr. Levine commented that Mr. Dolby would bring to Family
Dollar's Board of Directors many years of valuable experience in the business
community, with particular expertise in banking and finance.
    Mr. Dolby, age 58, is the President of The Edward C. Dolby Strategic
Consulting Group, LLC, a company he established in 2002 that is engaged in
business consulting.  Prior to his retirement in 2001, Mr. Dolby was employed
by Bank of America Corporation for 32 years, where his positions included
President of the North Carolina and South Carolina Consumer and Commercial
Bank.  Mr. Dolby was named by Black Enterprise Magazine as one of the top 50
Blacks in Corporate America.
    In addition to his business experience, Mr. Dolby has been active in civic
and government affairs, including service as Chairman of the Charlotte Chamber
of Commerce and as a board member of the North Carolina Department of
Transportation and the North Carolina Economic Development Board.  He earned a
Bachelor's degree from Shaw University in Raleigh, North Carolina, and in 1997
Shaw University awarded Mr. Dolby the honorary degree of Doctor of Humane
Letters.
