Martha Hesse Joins Terra's Board of Directors

    SIOUX CITY, Iowa, Nov. 12 /PRNewswire/ --
    Terra Industries Inc. (NYSE: TRA) announces the election of Martha O.
Hesse to its Board of Directors.  She fills the vacancy created when Carole L.
Brookins resigned from the corporation's Board to accept the position of U.S.
Executive Director of the World Bank in August 2001.
    Hesse has more than 25 years of significant management, business and
corporate governance experience in the private and public sectors, both
domestic and international.  This experience includes founding and operating
multimillion-dollar computer consulting and natural gas marketing companies.
    She is President of Hesse Gas Company, which was a nationwide marketer of
natural gas to utilities, large industrial companies and the Federal
Government.  The company was restructured in 1995 to function primarily as an
energy investment vehicle.
    President Reagan and President Bush appointed Hesse Chairman of the U.S.
Federal Energy Regulatory Commission; she served in this position from 1986
through 1989.  She initiated broad reforms at the Commission in its
jurisdiction of the multibillion-dollar natural gas, electric utility,
hydroelectric and oil pipeline industries.  She is widely credited with
changing the structure of the natural gas and electric industries to make them
more competitive and market responsive.
    Hesse's previous experience includes:  Senior Vice President, First
Chicago Corporation; Assistant Secretary for Management and Administration,
U.S. Department of Energy, where she was the chief business officer
responsible for a $23 billion budget; Executive Director at OMB of the
President's Task Force on Management Reform, the Reagan Administration's
program to improve management of the Federal Government; and Associate Deputy
Secretary of the U.S. Department of Commerce.  She also co-founded and was the
Chief Operating Officer of SEI Information Technology from 1969 until 1980.
    She attended the University of Iowa and in 1979 received an M.B.A. from
the University of Chicago.
    Hesse serves as a Director on the corporate Boards of Pinnacle West
Capital Corporation, including Arizona Public Service; Laidlaw Inc.; Mutual
Trust Companies; and AMEC plc.
    Terra Industries Inc., with 2000 revenues of $1 billion, is a leading
international producer of nitrogen products and methanol.
