BOISE, Idaho, Dec. 9 /PRNewswire-FirstCall/ -- Boise Cascade Corporation
(NYSE: BCC) announced that at a special meeting today, with 72.49% of the
outstanding shares represented, Boise shareholders cast 35,234,446, or
76.77%, of the voted shares in favor of the acquisition of OfficeMax, Inc.
(NYSE: OMX). Voted shares against the acquisition totaled 10,664,172, or
23.23%.
The acquisition proposal required a majority of votes cast in favor to
pass. Boise and OfficeMax expect to complete the merger transaction by the
end of business today.
In a second proposal today, Boise shareholders cast 24,414,863, or 53.34%,
of the voted shares in favor of an increase in the number of shares of Boise
common stock available for issuance under Boise's incentive compensation plan.
Voted shares against the proposal totaled 21,355,451, or 46.66%. The proposal
required a majority of votes cast in favor to pass.
