OLD GREENWICH, Conn., Dec. 21 /PRNewswire-FirstCall/ -- Premcor Inc.
(NYSE: PCO) today announced that it has filed a second resale registration
statement on Form S-3 with the Securities and Exchange Commission registering
14,121,104 shares of Premcor common stock. Premcor previously registered
15,000,000 shares of common stock, owned by affiliates of The Blackstone Group
L.P. ("Blackstone"), of which 5,000,000 shares remain unsold. The 14,121,104
shares being registered plus the 5,000,000 shares previously registered
represent all of Blackstone's beneficially owned Premcor common stock.
Premcor will not receive any proceeds from any sale of the shares of
common stock owned by Blackstone. Premcor filed the registration statement in
response to a request from Blackstone pursuant to an existing registration
rights agreement.
A registration statement relating to these shares has been filed with the
Securities and Exchange Commission, but has not yet become effective. These
shares may not be sold nor may offers to buy be accepted prior to the time the
registration statement becomes effective. This press release shall not
