MEYLAN-GRENOBLE, France, Dec. 23 /PRNewswire/ -- Fabmaster S.A.
(Nouveau Marche, SICOVAM: 6327), a leading provider of Computer Integrated
Manufacturing Electronics Assembly, announced that Tecnomatix Technologies
Ltd. (Nasdaq: TCNO), a pioneer and leading provider of Digital Factory
software, will acquire a majority interest in Fabmaster for approximately
$12 million in cash (17 Euros per share).
Under the terms of the agreement, Tecnomatix will acquire approximately
78% of Fabmaster from the company's principal shareholders, the closing being
planned for February 2000. Tecnomatix will launch a public tender offer to
purchase the remaining Fabmaster shares from the public.

The acquisition is expected to be completed on February 15, 2000.
