CORESTAFF Acquires Millennium Computer Corporation and CompuCorps Resources, Inc.

HOUSTON, July 1 /PRNewswire/ -- CORESTAFF, Inc. (Nasdaq: CSTF), one of the
largest national providers of information technology and staffing services,
today announced it has acquired Rochester, N.Y.-based Millennium Computer
Corporation and its affiliate, CompuCorps Resources, Inc. Millennium and
CompuCorps are projected to generate 1997 gross revenues of more than
$12 million and $4.5 million, respectively. Other terms of the transactions
were not disclosed.
Privately held Millennium was founded by Joel Reiser in 1985. Jonathan
Sacks, president and chief executive officer, and Joel Reiser, chief
technology officer, together with their senior management team, will continue
to operate and manage the business after closing. Millennium provides
contract software development services for its clients at its state-of-the-art
facility in Rochester. Millennium joins CORESTAFF's Information Technology
Solutions group along with CORESTAFF's recently acquired subsidiaries, Metamor
Technologies, Inc. and Business Management Data. The group is expected to
generate 1997 gross revenues of more than $75 million.
The majority of Millennium's services relate to the design and development
of software products and components that are re-sold by its clients to
businesses or other consumers. The company provides its software development
services on both a fixed-price/fixed-timetable and time-and-materials basis.
Millennium has expertise with a wide range of platforms including Windows,
Macintosh and UNIX and with various programming languages such as C++ and
Java. Millennium has also developed strong industry and product expertise in
digital imaging, electronic publishing and graphics applications.
CompuCorps provides a broad range of information technology professionals
to clients such as Kodak, CitiCorp and Bausch & Lomb in the greater Rochester
area. CompuCorps will become part of the COMSYS Information Technology
Services unit of CORESTAFF.
Michael T. Willis, CORESTAFF's president and chief executive officer,
stated, "Millennium represents our third acquisition in the information
technology solutions practice sector. We believe we can introduce
Millennium's software solutions design and development services to our other
Fortune 500 clients. Many of our existing clients regularly inquire about
software development facilities that can support their operations. We're
pleased that Millennium adds another state-of-the-art regional facility to our
company."
Commenting on CompuCorps, Willis stated, "CompuCorps represents an ideal
acquisition for COMSYS Information Technology Services. Rochester is an
attractive marketplace in which COMSYS did not maintain an office. We welcome
CompuCorps to the CORESTAFF/COMSYS team."
Established in 1993, CORESTAFF, Inc. has become one of the largest
national providers of information technology and staffing services through its
three operating units: COMSYS Information Technology Services, CORESTAFF
Services and CORESTAFF's Information Technology Solutions group. The Company,
with pro forma revenues in excess of $875 million, operates more than
150 branches across the United States, and has operations in India and the
United Kingdom.
