VIENNA, Va., July 24 /PRNewswire/ -- The board of directors of GRC
International (NYSE: GRH) today, during a regularly scheduled meeting, voted
to expand its membership by one seat and elected Peter A. Cohen, 50, to fill
the new position. The board membership now totals 11, composed of ten outside
directors and one inside director.

Peter A. Cohen has been a principal of Ramius Capital Group since its
founding in 1994. Ramius is a privately-held, specialized investment firm
that provides discretionary asset management, corporate finance, and
customized financial advisory services, and engages in principal investing
through the use of its own capital and that of its principals.
From 1971 to 1990 Cohen held various positions within Shearson Lehman
Brothers and its predecessors, culminating in his serving as chairman of the
board and chief executive officer from 1987 to 1990. During his nineteen
years within the firm, Cohen had operating responsibility for every aspect of
the firm's business and was directly involved in the negotiations of the
firm's acquisitions. Additionally, he oversaw most of the firm's own direct
loans and investments, many of which he initiated.
Subsequent to his departure from Shearson Lehman, he was instrumental in
establishing and became chairman of Republic New York Securities Corp., a
wholly-owned subsidiary of Republic New York Corp. He was also vice chairman
of Republic New York Corp. and a member of its Management Executive Committee.
Cohen is a director of Presidential Life Corp., Olivetti SpA and Andover Togs
Inc. He is also a trustee of Mt. Sinai Hospital, a board member of The Ohio
State University Foundation, co-chairman of the New York Holocaust Memorial
Commission and a director of the Museum of Jewish Heritage. He has served as
a director of the New York Stock Exchange, American Express Co., Republic New
York Corp., Societe General de Belgique S.A., Cofide and Cerus S.A., The New
York Federal Reserve Bank International Capital Markets Advisory Committee,
The Depository Trust Co. and The New York City Opera.
