WILKES-BARRE, Pa., July 16 /PRNewswire/ -- Pennsylvania Enterprises, Inc.
(NYSE: PNT) (PEI) announced today that it declared a dividend for the third
quarter of 1997 of $0.30 per common share.  Also, PG Energy Inc., the natural
gas utility subsidiary of PEI, declared dividends for the third quarter on all
series of its preferred stock.  All PEI and PG Energy dividends declared are
payable September 15, 1997, to shareholders of record on September 2, 1997.
    PEI is a holding company with regulated and non-regulated subsidiaries.
The regulated group consists of PG Energy and its subsidiary, Honesdale Gas
Company, which together provide natural gas to approximately 148,000 customers
in twelve counties in northeastern and central Pennsylvania.  The
non-regulated group consists of Theta Land Corporation and PG Energy Services
and its subsidiary, Keystone Pipeline Services, Inc.
