CRA Managed Care, Inc. Acquires First Notice Systems, Inc.

 Acquisition Will Complement and Expand CRA's Existing First Report of Injury
                              Service Capability

    BOSTON, June 4 /PRNewswire/ -- CRA Managed Care, Inc. (Nasdaq: CRAA)
announced today that it has acquired First Notice Systems Inc. from Cross
Country Group Inc., of Medford, Mass., for $40 million in cash.  First Notice,
for the fiscal year ended September 30, 1996, had approximately $10 million in
revenues and 250 employees.  The transaction is projected to be non-dilutive
to the Company's earnings for 1997.
    First Notice Systems, based in Boston, is currently the leading provider
of outsourced call reporting for first notice of loss/injury to the workers'
compensation and automobile insurance industries.  The service operates
around-the-clock, 365 days per year and provides a solution to one of the
insurance industry's biggest problems -- handling initial claims information
with speed and accuracy.
    "In acquiring First Notice Systems, not only are we dramatically enhancing
our own successful first report of injury service," said Donald J. Larson,
president and chief executive officer of CRA Managed Care, Inc., "but also
fortifying our competitive advantage as the most integrated solution to
managing care and reducing costs associated with workers' compensation and

    "The fact is that first report of injury has proven to reduce costs
substantially and promote a faster return to work for injured workers.  When
claims are reported within 24 hours, we can eliminate thousands of dollars in
lost-time indemnity as well as significantly reduce medical costs," Larson
said.  "We expect this latest CRA acquisition to strengthen CRA's ability to
cross-sell our cost-containment services to existing customers, as well as to
introduce First Notice's customers to the full spectrum of CRA's cost-
containment and case management services.  In addition, we are confident that
through First Notice Systems we can enhance our ability to direct more
patients to the occupational healthcare facilities which are owned and
operated by OccuSystems."
    Larson added, "By adding to our capacity to capture injury data at the
beginning of a case episode, we are enhancing CRA's tracking of outcome-
related information across the entire continuum of care.  Furthermore, the
fact that First Notice Systems serves other lines of insurance in addition to
workers' compensation, particularly automobile insurance, fits with CRA's
strategy to expand its customer base to markets outside of workers'
compensation, which can benefit from CRA's traditional strengths."
    Last month, CRA Managed Care and Dallas-based OccuSystems, Inc.
(Nasdaq: OSYS) jointly announced that the two companies have agreed to a
merger that will create the nation's first fully integrated managed care
company focused on workers' compensation cost containment.  The new company
formed by this merger, Concentra(R) Managed Care, Inc., will provide
preventive services, first report of injury, primary care, specialist
networks, specialized cost containment services, and field case management for
workers' compensation as well as for the disability and automobile injury
markets.  Concentra Managed Care will have operations in 49 states, the
District of Columbia and Canada.  The combined revenues for the year ended
December 31, 1996, were approximately $350 million, and the two companies
currently have a combined market capitalization of approximately $975 million.
    CRA Managed Care provides services designed to reduce the costs associated
with workers' compensation, automobile and disability insurance claims.  The
Company operates one of the largest field case-management organizations in
North America, consisting of 119 field case management offices with
approximately 1,200 field case managers who provide medical management and
return-to-work services in 49 states, the District of Columbia and Canada.
The Company also owns FOCUS Healthcare Management Inc., one of the country's
largest specialized PPOs focused on the workers' compensation and automobile
liability marketplaces; as well as Prompt Associates Inc., a leading provider
